1. Agreement to Terms
By accessing or using the services provided by Fautra Labs ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
These Terms apply to all visitors, users, and others who access or use our services, including our website, consulting services, and any related offerings.
2. Services Description
Fautra Labs provides strategic advisory, AI-oriented innovation consulting, rapid prototyping, and related technology services. Our services include but are not limited to:
- Strategic advisory and digital direction consulting
- AI innovation and automation concept development
- Rapid prototyping and proof-of-concept creation
- Workflow automation design and implementation guidance
- Digital interface and dashboard development
- Implementation support and architecture advisory
3. Engagement Terms
All consulting engagements are subject to a separate Statement of Work (SOW) or engagement agreement that will specify:
- Scope of services to be provided
- Project timeline and milestones
- Fees and payment terms
- Deliverables and acceptance criteria
- Confidentiality obligations
In the event of any conflict between these Terms and a specific engagement agreement, the engagement agreement shall prevail.
4. Intellectual Property
4.1 Our Property
All content, methodologies, frameworks, tools, and materials developed by Fautra Labs prior to or independent of any client engagement remain our exclusive property.
4.2 Client Deliverables
Unless otherwise specified in an engagement agreement, upon full payment, clients receive a license to use deliverables created specifically for their engagement. Ownership terms will be defined in each engagement agreement.
4.3 Feedback
Any feedback, suggestions, or ideas you provide regarding our services may be used by us without any obligation to compensate you.
5. Payment Terms
Payment terms, including fees, invoicing schedules, and payment methods, will be specified in individual engagement agreements. General terms include:
- Invoices are due within 30 days of receipt unless otherwise agreed
- Late payments may incur interest at 1.5% per month
- We reserve the right to suspend services for overdue accounts
- All fees are exclusive of applicable taxes
6. Confidentiality
We treat all client information as confidential. We will not disclose any confidential information to third parties without your prior written consent, except as required by law or as necessary to perform our services with your approval.
7. Limitation of Liability
To the maximum extent permitted by law, Fautra Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services.
Our total liability for any claims arising from our services shall not exceed the fees paid by you for the specific engagement giving rise to the claim.
8. Warranties and Disclaimers
We provide our services with reasonable skill and care. However, we do not guarantee specific outcomes or results. All services are provided "as is" without warranties of any kind, express or implied, except as explicitly stated in engagement agreements.
9. Termination
Either party may terminate an engagement as specified in the applicable engagement agreement. Upon termination:
- Client shall pay for all services rendered up to the termination date
- Both parties shall return or destroy confidential information
- Provisions that by their nature should survive termination shall remain in effect
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Ontario, Canada.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify clients of any material changes. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
